When these terms apply.
These terms apply when you use the Kaizen website or Upside. They do not replace a signed agreement for consulting, development, implementation or support services.
By using the website or booking a consultation with Upside, you agree to these terms and our Privacy Policy. If you use the website for a company or another organisation, you confirm that you have authority to provide the information you share.
What the website means.
The website gives general information about Kaizen, our approach, our experience and the systems we work with. Examples, including the figures on the Human Upside pages, are illustrations, not a quote, a project commitment or a promise that the same result will suit another business.
Nothing on the website is legal, financial, medical, employment, cybersecurity or other professional advice. You still need to understand your own obligations, risks and operating environment.
Kaizen services use a separate agreement.
Paid work is governed by the proposal, statement of work or other written agreement signed for that engagement. If these website terms conflict with that agreement, the signed agreement applies to the service.
Booking a consultation does not require you to buy anything. It also does not require Kaizen to accept or perform a project.
Upside helps you think. It does not decide for you.
Upside is Kaizen’s expert-trained AI. In a consultation of up to 15 minutes it helps you look at one job, work out the time it takes and what that time could be worth, and outline a first step.
Upside responds only to what you tell it and what it reads on your public website. It may misunderstand you, and its figures are estimates built from your own numbers, not a promise of results.
Treat your summary as a starting point.
The summary and first step are not a quote or a contract. Kaizen confirms the scope and price in a written proposal, and you decide what is right for your business.
What you can safely share.
You keep any rights you already have in information you provide. You confirm that you have authority to provide it and that doing so does not expose another person’s personal information or another party’s confidential material without permission.
Do not share passwords, access keys, customer records, health information or other sensitive information. Do not use Upside for an emergency or a decision where an incorrect answer could cause serious harm.
You allow Kaizen and its service providers to process what you share only as needed to run the consultation, prepare your summary and a proposal, protect the service and follow up with you. Our Privacy Policy explains that flow.
Your booking, link and summary.
When you book, you agree that Kaizen may use your contact details to send your booking link and summary, contact you about the consultation and discuss whether Kaizen can help.
Your booking link is private. Anyone with it can join your consultation, so you are responsible for keeping it to yourself. The consultation ends by itself at 15 minutes. Upside may end it sooner if it is not going anywhere or is misused. We may limit how often one person or network can book.
Subject to applicable law and third-party rights, you may copy and use your summary inside your business. Kaizen does not claim ownership of your business information. The website, Kaizen and Human Upside names and branding, Upside, its design and code, and underlying Kaizen materials remain owned by Kaizen or its licensors. You may not copy, sell or republish them unless the law permits it or Kaizen agrees in writing.
Use the service fairly.
You must not use the website or Upside to break the law, harm or harass another person, impersonate someone, book for someone else without their permission, submit malware, disrupt the service, bypass security, try to make Upside produce harmful content or place unreasonable automated load on the service.
Kaizen may restrict access where reasonably necessary to protect people, systems or legal rights.
Third-party products can change.
The website and Upside may refer to third-party platforms, products or websites. A reference does not mean Kaizen controls or guarantees that third party.
Check current information with the provider and complete the security, privacy, legal and commercial review your business needs before adopting a product. Third-party services have their own terms and privacy policies.
Availability, consumer rights and governing law.
We may maintain, change, suspend or withdraw parts of the website or Upside, including closing bookings for a time. We do not promise that the service will always be available, uninterrupted or error-free. Do not rely on Upside or its summary as your only business record.
Nothing in these terms excludes, restricts or modifies a guarantee, condition, warranty, right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law.
Subject to those rights, the website and Upside give general guidance, not a promise of a particular business outcome. Kaizen is not responsible for loss that could not reasonably have been foreseen or that results from acting on unchecked AI output contrary to these terms.
These terms are governed by the laws of South Australia, Australia. You and Kaizen submit to the courts of South Australia and courts that hear appeals from them.
Changes and contact.
We may update these terms when the website, Upside or applicable law changes. The updated version applies from the date shown at the top of this page. It does not alter a signed service agreement unless that agreement allows it.
